第一章 总则
第一条 名称
中文名称：中国-东盟高校创新创业教育联盟；
英文全称：China-ASEAN Innovation and Entrepreneurship Education Alliance of Universities
英文缩写：CAIEEAU。
第二条 联盟的性质
中国-东盟高校创新创业教育联盟（以下简称“联盟”）是中国与东盟国家高校代表在自愿基础上结成的非盈利性组织。
第三条 联盟由6163银河游戏、中国高校创新创业教育联盟、中国-东盟中心、东南亚教育部长组织高等教育发展区域中心共同倡议和组织成立。
第四条 联盟成员保持各自的独立性和各自的法人权利。联盟在相关国际法律法规、中国与东盟国家宪法与法律制度下，根据本章程开展活动。
第五条 联盟工作语言为汉语和英语。
第二章 联盟的宗旨与任务
第六条 联盟的宗旨
联合中国与东盟国家各成员高校，共同构建中国-东盟区域创新创业教育合作机制，在各方协议的框架下，促进联盟高校间的人才交流、信息共享，共同推进中国-东盟高校间创新创业教育的交流与合作。
第七条 联盟的主要任务
（一）建立健全中国-东盟高校创新创业教育联盟的合作与运行机制，推进重点项目，探索高校创新创业教育体系建设，共同引领创新创业教育的发展；
（二）举办各种类型的学术活动，搭建资源共享平台，实现联盟成员间教学课程、国际合作项目、国际会议等方面的信息共享，促进联盟成员在教学、科研和人员交流领域的国际合作；
（三）发展长、短期非学历交流项目，促进联盟成员之间的学分互认和教学资源互补，探索开展本科生和研究生层面长期学历生的双学位联合培养；
（四）多渠道吸引中国与东盟各界资金支持及物质资助，设立奖、助学金项目，促进联盟成员间互相招收和培养留学生；
（五）协调和促进本联盟与其他联盟在教育、科研、文化方面的国际合作。
第三章 联盟的组织形式
第八条 联盟实行单位会员制。联盟理事会为联盟最高权力机构。理事单位由全体联盟单位组成。理事会成员由理事单位推荐相关人员组成，每届任期三年，可连任。理事会每年至少召开一次，履行以下职责：
（一）制订修改本会章程；
（二）听取审议联盟工作报告；
（三）决策联盟其他重大事项。
第九条 联盟设置一个常设主席单位，负责起草联盟内部制度、制定工作计划、推进工作进度，组织协调所在方联盟成员行政事务。常设主席单位为6163银河游戏。常设主席由常设主席单位的一名校领导担任。
第十条 常设主席单位下设秘书处，负责整理联盟文书，发布联盟信息，以及组织、管理、协调联盟内各项事务，维护综合信息服务平台。
第十一条 联盟每三年设置一个轮值主席单位，一般由中方、东盟成员高校轮流担任，负责根据联盟工作计划，组织年度联盟成员大会，组织、开展、协调联盟各项活动，争取各类外部资源支持联盟活动，汇报联盟年度工作进展。轮值主席由轮值主席单位的一位校领导担任。轮值主席由联盟理事会选举产生。联盟的首届轮值主席单位由常设主席单位兼任。
第四章 联盟成员的权利与义务
第十二条 联盟成员的权利：
（一）共享联盟各类创新创业教育教学、科研、师资等资源及其服务体系；
（二）参加联盟所组织的学术会议、经验交流、课题、培训以及其他活动；
（三）优先受益于联盟成员内部的合作项目、奖助学金、实验室、研究所及公共设施等资源；
（四）优先参与联盟成员所组织的各项双边、多边活动；
（五）就联盟的内部制度、工作计划、实施方案提出建议；
（六）有表决权、选举权和被选举权。
第十三条 联盟成员的义务：
（一）尊重联盟成员，遵守联盟章程，维护联盟利益；
（二）为联盟实施的各项工作提供方便条件；
（三）加强联盟成员之间的合作，给予联盟其他成员优先使用其合作项目、奖助学金、实验室、研究所及公共设施等资源的权利；
（四）给予联盟其他成员优先参与其组织的各项双边、多边活动的权利；
（五）执行联盟成员代表大会的决议。
第五章 联盟的成员组成
第十四条 凡是自愿接受联盟章程义务，并愿意履行联盟成员义务的中国及东盟高等院校，均可申请成为联盟成员。
第十五条 加入机制
拟加入联盟的单位需向常设主席单位秘书处提交申请书，经审核后，呈理事会审议批准。
第十六条 退出机制
（一）拟退出的联盟成员需向常设主席单位秘书处提出书面申请，由理事会通过方可生效；
（二）联盟成员如有不履行成员义务、违反联盟章程等情况，情节严重的，由理事会表决，取消联盟成员资格。
第十七条 首批联盟成员单位为2017年7月28日签署《中国-东盟高校创新创业教育联盟合作备忘录》的高校。
第六章 其他
第十八条 本章程未尽事宜，按照相关国际法律法规、中国与东盟现行法律法规、联盟内部制度与规定进行处理。
第十九条 本章程由中、英两种文字书写，两种文字具有同等法律效力，每个联盟成员各执一份。
第二十条 章程的修改，需由联盟成员讨论并经理事会通过生效。
第二十一条 本章程自《中国-东盟高校创新创业联盟合作备忘录》签署之日起生效。

Chapter One
General Principles
1. Title
Chinese name：中国-东盟高校创新创业教育联盟
English full name： China-ASEAN Innovation and Entrepreneurship Education Alliance of Universities
English abbreviation：CAIEEAU
2. Nature of the alliance
China-ASEAN Innovation and Entrepreneurship Education Alliance of Universities（hereinafter referred to as “the alliance”）is a non-profit organization formed by representatives from China and ASEAN countries on a voluntary basis.
3. The alliance is jointly initiated and established by Guizhou Institute of Technology, the Innovation & Entrepreneurship Education Alliance of China, ASEAN-China Centre and SEAMEO RIHED.
4. Alliance members shall maintain their independence and legal rights. The alliance shall develop its activities in accordance with the article, complying with relevant international laws and regulations as well as the constitution and laws system of China and ASEAN countries.
5. The official working languages of the alliance are Chinese and English.
Chapter Two
Purposes and Roles of the Alliance
6. Purposes of the alliance
Jointly establish the cooperation mechanism of innovation and entrepreneurship education in China-ASEAN region with member universities of China and ASEAN countries, promote the exchange of talents and information sharing, and jointly promote the exchanges and cooperation in innovation and entrepreneurship education between universities from China and ASEAN countries, under the framework of agreement from each party.
7. Primary roles of the alliance
(a) Establish and improve the cooperation and operation mechanism of the alliance, promote key projects, explore the construction of education system of innovation and entrepreneurship in universities, co-lead the development of innovation and entrepreneurship education.
(b) Organize various types of academic activities, set up resource sharing platforms, achieve the sharing of information on teaching courses, international cooperation projects, international conferences, etc., and promote international cooperation in the fields of teaching, scientific research and personnel exchange.
(c) Develop long-term and short-term non-academic exchange programs, promote mutual credit recognition and complementation of teaching resources, and explore the joint cultivation of double degrees at undergraduate and graduate levels.
(d) Attract financial and material support from various circles of China and ASEAN through multi-channels to set up scholarship and financial aid programs and promote the recruitment and education of international students between alliance members.
(e) Coordinate and promote international cooperation between the alliance and other alliances in education, research and culture.
Chapter Three
Organizational Form of the Alliance
8. The alliance operates on a unit membership basis. The alliance council is the highest authorized organization of the alliance. The director unit is formed by all alliance units. The council members shall be composed of relevant personnel recommended by the director units for a term of three years with the right of re-election. The council meeting shall be held at least once a year and shall be convened regularly to discharge the responsibilities listed below:
(a) Enact and amend the article;
(b) Hear and deliberate the work report of the alliance;
(c) Decide other major issues of the alliance.
9. The alliance establishes a Permanent Chairman Unit. The Standing Chairman Unit is responsible for drafting the internal regulations of the alliance, formulating work plan, advancing work progress, organizing and coordinating administrative affairs of members. The Permanent Chairman Unit is Guizhou Institute of Technology. The Chairman is held by a school leader of the Permanent Chairman Unit.
10. The secretariat is set up under the Permanent Chairman Unit. The secretariat is responsible for the paperwork, the information publishing, the organization, management and coordination of the alliance affairs and the maintenance of the information service platform.
11 The alliance sets up a Rotating Chairman Unit every three years. The Rotating Chairman Unit is elected from the Chinese and ASEAN members. It shall organize the annual general meeting of the alliance, organize, carry out and coordinate activities, and strive for various external resources to support alliance activities in accordance with the alliance work plan, and it shall report the alliance annual work progress. The Chairman is held by a school leader of the Rotating Chairman Unit. The Chairman shall be elected by the alliance council. The first Rotating Chairman Unit of the alliance is concurrently assumed by the Permanent Chairman Unit.
Chapter Four
Rights and Obligations of Alliance Members
12. Rights of alliance members：
(a) Share various educational resources of the alliance, such as innovation and entrepreneurship education and teaching, scientific research, faculty, etc., along with its service system.
(b) Participate the academic conferences, experience exchanges, research programs, trainings and other activities organized by the alliance.
(c) Have priority of approaching for various educational resources within the alliance, such as cooperation projects, scholarships and financial aids, laboratories, research institutes, public facilities, etc.
(d) Preferentially participate in the bilateral and multilateral activities organized by alliance members.
(e) Present advice and suggestions for the internal regulations, work plans and implementation plans of the alliance.
(f) Eligible to vote, elect and be elected.
13. Obligations of alliance members：
(a) Respect alliance members, comply with the article of the alliance, maintain profits of the alliance.
(b) Provide convenient conditions for carrying out the work of the alliance.
(c) Enhance cooperation among alliance members, offer priority to other members of the alliance for the rights to use educational resources, such as cooperation projects, scholarships and financial aids, research institutes and public facilities, etc.
(d) Offer priority to other members of the alliance for the right to participate in bilateral and multilateral cooperation activities.
(e) Carry out the decisions of the Alliance Members Congress.
Chapter Five
Member Composition of the Alliance
14. Chinese and ASEAN universities who are willing to accept the regulations listed in the article and fulfill their members’ obligation are qualified to join the alliance
15. Subscription Mechanism
Units to join the alliance shall submit applications and the applications shall be examined by the secretariat for approval by the council after submitting the applications.
16. Withdrawal Mechanism
(a) Members to withdraw from the alliance shall submit written applications to the secretariat for approval by the council.
(b) Any failure to fulfill members’ obligations or any serious breach of the article might result in disqualification of alliance membership voted by the council.
17. The first batch of alliance members are universities who had signed 《Memorandum of Understanding of China-ASEAN Innovation and Entrepreneurship Education Alliance of Universities》on 28th July, 2017.
Chapter Six
Others
18. For those unstipulated in this article should be conducted in accordance with relative international laws and regulations and current laws and regulations of China and ASEAN and the internal regulations of the alliance.
19. The article is made in Chinese and English. Both languages shall be of equal legal effect and shall be kept by each alliance member.
20. Any amendments of the article shall be discussed by the council members and passed through the council before come into force.
21. The article shall enter into force since Memorandum of Understanding of China-ASEAN Innovation and Entrepreneurship Education Alliance of Universities” being signed.
